NON-TRANSFERABLE LICENSE AGREEMENTThis
Non-Transferable License Agreement (the “Agreement”) is made and entered into
as of the date of purchase (the “Effective Date”) by and between (the “Licensor”)
and the purchaser of the product (“Licensee”).
License Grant. Licensor hereby grants to Licensee a non-exclusive,
non-transferable license to use and modify the product purchased by Licensee (the “Product”)
solely for Licensee’s internal business purposes.
Restrictions. Licensee shall not sell, transfer, assign, sublicense or
otherwise distribute or make available the Product to any third party.
Ownership. Licensor retains all right, title and interest in and to the
Product, including all intellectual property rights.
Termination. This Agreement shall terminate immediately upon any breach
of this Agreement by Licensee.
Disclaimer of Warranties. LICENSOR MAKES NO WARRANTIES OR
REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO THE
PRODUCT OR ANY OTHER MATTER HEREUNDER.
Limitation of Liability. LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION
WITH THIS AGREEMENT OR THE PRODUCT.
Licensor accepts no responsibility in relation to compliance or industry
currency and the responsibility will be that of the Licensee.
By Purchasing any product created by the Licensor, you are agreeing to this Non-Transferable License
Agreement.
